PARTNER AGREEMENT

Between Las Villas Ibiza ("the Agency") and [your full name] ("the Partner"), dated 2026-08-04.
1. PURPOSE
The Partner introduces prospective buyers to the Agency. The Partner does not
negotiate, does not represent the Agency, does not quote prices or terms, and does not
act as an intermediary in any transaction. All negotiation, viewings, and documentation
are handled solely by the Agency's own agents. The Partner is an introducer only.
2. REGISTERING AN INTRODUCTION
An introduction must be registered through the Partner portal BEFORE the Partner
puts the Agency and the prospective buyer in contact. An introduction that is not
registered in advance carries no entitlement to any fee, without exception.
On registration the Agency checks the name against its existing register of contacts.
If the person is already known to the Agency, the registration is declined. The Agency
will confirm that the person is already registered but will disclose nothing further
about them, as it is bound by confidentiality to its existing contacts.
3. MAKING THE INTRODUCTION
Once a registration is accepted, the Partner has 14 days to make
the introduction. If no introduction is made within that period the registration lapses
and the name is released. The Partner may register the same person again later if the
person is still not otherwise known to the Agency.
A Partner may hold up to 5 live registrations at any one time.
4. PROTECTION PERIOD
An accepted registration is exclusive to the Partner for 12 months
from the date of registration. If the introduced person completes a purchase through the
Agency within that period, the fee under clause 5 is due.
5. FEE
The Partner receives 10% of the commission actually received and
retained by the Agency on the completed sale.
For the avoidance of doubt, the fee is calculated on what the Agency banks, not on the
gross commission. Where the Agency shares its commission with a co-operating agency, the
Partner's 10% is calculated on the Agency's share only.
Where the sale completes at notary within 6 months of registration,
the rate is increased to 12% on the same basis.
6. WHEN THE FEE IS PAYABLE
The fee becomes payable once the sale has completed before a notary AND the Agency has
itself received its commission in cleared funds. No fee is payable on offers, reservations,
deposits, or sales that do not complete.
7. INVOICING AND TAX
The Partner is responsible for their own tax position. Payment is made against a valid
invoice where the Partner is registered to issue one. Where the Partner is not so
registered and the introduction is genuinely occasional, the Agency may pay against a
signed receipt with any withholding required by Spanish law applied and declared by the
Agency. The Agency will request the details it needs at the point a fee becomes due, not
before. The Partner is not an employee, agent, or partner of the Agency, and nothing
here creates such a relationship.
8. CONFIDENTIALITY
The Partner will keep confidential all non-public information disclosed by the Agency,
including property details, prices, owner identities, and anything shown in the members'
area. Properties shown in the members' area are not publicly listed and must not be
published, forwarded, reproduced, or shared on any platform, website, or social media.
This obligation continues for three years after this agreement ends.
9. DATA PROTECTION
The Partner confirms that any person they introduce is aware of and has agreed to the
introduction being made. The Agency processes personal data in accordance with its privacy
policy and applicable data protection law.
10. CONDUCT
The Agency may suspend or end an Partner's membership at any time, including where
names are registered without a genuine relationship to the person, where confidentiality
is breached, or where the Partner holds themselves out as representing the Agency.
Fees already earned on completed sales remain payable.
11. TERM AND LAW
Either party may end this agreement on written notice. Registrations accepted before that
date remain protected for their remaining period. This agreement is governed by Spanish
law and subject to the courts of Ibiza.
